Terms and Conditions for Virtual Assistant Basketball Coaching Service for the 2025-26 basketball season.
1. Program Overview:
Michael Carlson ("Virtual Assistant Coach") will provide virtual assistant basketball coaching services to participating high school coaches ("Participants") for the period of participant registration/payment until two weeks after their team’s final basketball game of the 2025-26 season.
The primary objective is to analyze game film provided by Participants and create a searchable database of video clips for educational purposes.
The database will serve as a teaching tool, providing Participants with ideas and details for plays, strategies, and techniques.
The timeline of the project will be as follows. Research and database development will occur from April to August, with a functional database targeted by August 15th. Tweaks and adjustments will continue until the basketball season starts in November. Ongoing updates will be made throughout the season based on feedback and emerging trends.
A virtual meeting will be held after each team’s final game in order to evaluate the season and what progress was made.
2. Virtual Assistant Coach Responsibilities:
Analyze two (2) full game videos submitted by each Participant.
Create and maintain a searchable database of video clips, hosted on Google Sheets (unless a better platform becomes available) with links to private YouTube videos. Anticipated Launch of Database is August 15, 2025
Provide video analysis feedback to each Participant via WhatsApp, including observations and questions.
Deliver a monthly mass video update to all Participants.
Maintain communication with Participants within a 48-hour response time (excluding Sundays). Most responses will happen within 24 hours.
3. Coach Obligations:
Download and setup Whatsapp for communication.
Submit two (2) full game videos in a format accessible via YouTube link or WeTransfer.
Provide feedback and questions regarding the Coach's video analysis.
Maintain respectful and professional communication.
Access the database through a Google/YouTube account using the same email
registered with Study of Hoops .
4. Video Submission Guidelines:
Videos must be submitted via a YouTube link or WeTransfer.
Videos from paid services (e.g., Hudl, NFHS Network) will not be accepted.
All video clips used in the database will originate from YouTube links.
5. Communication:
Primary communication will be conducted via WhatsApp. Email will also be used, but as a secondary mode of communication.
Response time will be within 48 hours (excluding Sundays).
No communication will be conducted on Sundays.
Individual meetings and calls will be avoided unless absolutely necessary. Voice Messages are preferred.
Any communication with the Virtual Assistant Coach can be used in the research process but will not be made publicly available unless the Virtual Assistant Coach asks and is granted permission from the Participant.
6. Database Access and Usage:
The database will be hosted on Google Sheets with links to private YouTube videos.
Access to the database will be granted to Participants via a specified Google/Youtube account (using email registered to Study of Hoops).
Feedback is welcome and encouraged
The database is to be used only by Participants that have paid for access.
Sharing database content with non-Participants is prohibited. This is grounds for immediate termination of access.
The Study of Hoops Database is the intellectual property of Michael Carlson and any unauthorized distribution of the database will be subject to compensation.
7. Payment and Refund Policy:
A one-time payment of 315€ (about $338) is due upon registration.
Participants can opt out and refunds are available until the database launch on August 15, 2025.
Refunds will be prorated based on the time elapsed in the program.
The Virtual Assistant Coach holds the right to determine the amount refunded if a Participant is removed from the program.
8. Termination:
Either party has the right to terminate the agreement due to breaches of professionalism, including disrespectful language or lack of communication.
Virtual Assistant Coach reserves the right to terminate the agreement with any Participant deemed detrimental to the program's objectives. In these cases, Virtual Assistant will determine the amount of refund (if any) upon termination.
Virtual Assistant Coach must respond to Participants communications within 48 hours (excluding Sundays), unless communications are deemed spam or an attempt to manipulate the system.
9. Liability:
Virtual Assistant Coach is not liable for any injuries sustained during practices or games.
Virtual Assistant Coach is not liable for the team's performance.
The program is intended as a teaching tool and is not a guarantee of success.
10. Privacy:
All video clips used in the database will be sourced from publicly available YouTube videos.
Access to the database will be restricted to Participants.
11. Modifications:
Virtual Assistant Coach reserves the right to modify these terms and conditions.
Participants will be notified of any modifications.
12. Dispute Resolution:
(a) Negotiation. The parties shall attempt to resolve any dispute, controversy, or claim arising out of or relating to this Agreement (a "Dispute") promptly through good-faith negotiations between representatives of the parties who have authority to settle the Dispute. If the parties are unable to resolve the Dispute within 30 days after written notice from one party to the other requesting negotiation, then either party may initiate the procedures set forth in subsection (b).
(b) Mediation. If the parties are unable to resolve the Dispute through negotiation, the parties agree to submit the Dispute to non-binding mediation administered by an agreed upon Mediator in San Sebastiàn, Spain. The parties shall share equally the costs of the mediator. If the Dispute is not resolved through mediation within 30 days of the commencement of the mediation, or if either party fails to participate in the mediation, then either party may initiate the procedures set forth in subsection (c).
(c) Litigation. Any Dispute not resolved through negotiation or mediation (if applicable) shall be exclusively and finally resolved in the courts of San Sebastiàn, Spain. Each party irrevocably submits to the personal jurisdiction of such courts and waives any objection to the laying of venue in such courts. The prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.
(d) Governing Law. This Dispute Resolution clause shall be governed by and construed in accordance with the laws of Gipuzkoa, Spain
(e) Confidentiality. All negotiations, mediations, and arbitrations conducted pursuant to this clause shall be confidential and shall not be disclosed to any third party, except as required by law.
(f) Injunctive Relief. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent a breach or threatened breach of this Agreement that is likely to cause irreparable harm.
13. Force Majeure:
Neither party shall be liable for any failure or delay in performing its obligations under this Agreement to the extent that such failure or delay is caused by events or circumstances beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, civil unrest, labor disputes, natural disasters (such as floods, earthquakes, or hurricanes), epidemics, pandemics, government regulations or orders, or disruptions in telecommunications or utilities. The affected party shall promptly notify the other party of the occurrence of a Force Majeure event and shall make reasonable efforts to mitigate the effects of such event. If a Force Majeure event prevents a party from performing its obligations for a period exceeding 30 days, either party may terminate this Agreement upon written notice to the other party.
14. Entire Agreement:
This document constitutes the entire agreement between the Virtual Assistant Coach and Participants.
